The Opportunity

The role of Senior Legal Counsel in our Hong Kong, Melbourne or Sydney office offers the opportunity to play a key role in the Asia Pacific Legal Department, supporting the growth of our Northern Trust Asset Management (“NTAM”) business in the region. Reporting to the APAC General Counsel, the successful candidate will enjoy an autonomous role, working in close partnership with NTAM senior management on a wide variety of legal matters across NTAM’s business in Asia and Australia. Importantly, the role also offers a flexible working environment, with a focus on outcomes rather than hours spent behind the desk.    

 

What you will do

  • Draft, review and/or negotiate a wide range of investment management agreements, distribution agreements and other ancillary documentation such as parental guarantees, non-disclosure agreements and SLAs
  • Review fund documentation such as offer documents (including product disclosure statements), fund constitutions, trust deeds, application forms and subscription agreements
  • Instruct and liaise with external counsel in Asia and Australia, as necessary
  • Review and negotiate vendor agreements in connection with the NTAM business
  • Review and negotiate trading agreements including ISDAs, equity brokerage and futures clearing agreements
  • Advise on legal and regulatory developments impacting NTAM in Asia and Australia
  • Advise on existing and new products and services (to be) offered to clients in Asia and Australia
  • Manage legal risk having regard for, amongst other things, regulatory change, good corporate governance and operating structures
  • Work with other members of the APAC Legal Department and the broader corporate Legal Department in relation to ad hoc projects and client requests

 

What you will do

Knowledge, Skills & Qualifications

  • PQE 8-10 years or more working in private practice or in-house with an investment manager
  • The successful candidate will ideally have experience working with both Australian clients (APRA regulated asset owners such as superannuation funds or general insurers) and clients located in Asia, with a particular emphasis on Hong Kong, China, South Korea and Japan
  • Experience in the establishment and distribution of UCITS funds, Australian managed investment schemes and Japanese Investment Trusts highly valued
  • Strong legal drafting and negotiation skills are essential. Experience negotiating investment management agreements and distribution agreements is essential. Experience negotiating trading agreements would also be highly valued.
  • Strong understanding of the Australian financial services regulatory environment including Chapter 7 of the Corporations Act, SIS legislation and APRA Prudential Standards
  • Pro-active team player with the ability to prioritise and work to set deadlines within a challenging environment
  • Strong commercial/pragmatic sense and understanding of business needs
  • The ability to analyse complex legal issues and explain outcomes in plain English
  • Excellent written and verbal communication skills, with strong attention to detail
  • A self-starter who is able to work autonomously and with minimal supervision
